Board approved material related party transaction: FTSPL (WOS) to subscribe to ~2.59 crore equity shares of Ticker Limited (subsidiary) at Rs. 27 each, aggregating ~Rs. 70 crore. Ticker is loss-making (PAT loss of Rs. 35.8 crore in FY26) with declining revenue. Subject to shareholder approval.
