Board approved, subject to shareholder and regulatory approvals, acquisition of 100% of Chatak Agro's agro-products and fertilizer business for up to Rs 35 Cr, partly cash and partly through up to 14,49,900 preferential equity shares at Rs 93.78 each. It also approved up to 26,46,350 convertible warrants at Rs 93.78 each to promoters and promoter group, aggregating up to Rs 24.81 Cr. The acquisitions are intended to consolidate the group's fertilizer operations under the listed entity and improve operational efficiencies; Chatak Agro reported FY25 turnover of Rs 10.3 Cr. The company also proposed acquiring Divya Jyoti Agritech's undertaking for up to Rs 15 Cr, making the transactions related-party dealings involving promoter-linked entities.
