Jay Kailash Namkeen Approves ₹15.25 Crore Vayuveer Share Swap

Board approved, subject to shareholder approval, a preferential share-swap issuance of up to 33,74,375 equity shares at Rs 45.19 per share, aggregating Rs 15.2 Cr, to acquire 8,000 shares of Vayuveer Solutions Private Limited. Vayuveer will become a subsidiary, while the allottee will hold 40.31% of the post-issue capital and may be reclassified as promoter. Authorised share capital will increase from Rs 5 Cr to Rs 10 Cr.
