Board approved acquisition of Nagarro SE, German IT services firm (EUR 1B CY25 revenue, ~18,500 employees), at EUR 81/share for 100% via voluntary public takeover through wholly owned subsidiary BidCo. Bridge financing of EUR 1.4B from Barclays with corporate guarantee of EUR 1.54B. Combined entity at ~$2.9B revenue, 46,000+ employees. Expected closure Q4 CY2026/Q1 CY2027.
