Promoter holding would decline from 67.93% to 62.02%, while public holding rises from 32.07% to 37.98%; the issue is alongside 10.55 lakh outstanding warrants. The fundraise could support Prizor's working-capital-intensive expansion and reduce reliance on promoter funding, but intended use of proceeds, investor lock-ins, valuation rationale and execution milestones were not disclosed.
