Shalimar Paints Approves ₹6,895 Crore CCPS Swap With Infra.Market

Q1 FY27 Consolidated Results YoY: Revenue at 137.7 Cr vs 154.6 Cr, down 10.9%. EBITDA loss widened to 11.3 Cr vs loss of 6.1 Cr. EBITDA Margin at -8.2% vs -3.9%, contraction of 430bps; raw material costs grew 21.2% despite revenue declining 10.9%. PAT loss widened to 21.3 Cr vs loss of 16.8 Cr. The Board proposed a ₹105.9 Cr preferential equity issue to non-promoters, up to ₹3,544.7 Cr equity issue and ₹6,895.2 Cr CCPS issue for consideration other than cash, all at ₹85 per security, subject to shareholder approval. It also proposed investment in Hella Infra Market through a share swap, potentially making it an unlisted material subsidiary, and approved a QIP of up to ₹1,000 Cr. Context: first concrete funding and restructuring framework following the earlier strategic-option disclosure.
